New Delhi, September 22, 2025: New Delhi Television (NDTV) has announced the acquisition of the GoodTimes channel from Lifestyle & Media Broadcasting Ltd (LMBL) through a slump sale on a going concern basis. The transaction, approved by the LMBL board on September 19, 2025, marks a strategic expansion of NDTV’s lifestyle and entertainment portfolio.
The acquisition is structured at a lump sum consideration of up to Rs 18 crore, on a cash-free, debt-free basis, with a portion of the payment to be made via television advertising inventory. Completion of the transaction is expected within three months, subject to customary conditions and regulatory approvals from the Ministry of Information and Broadcasting.
NDTV and LMBL have signed a binding term sheet outlining the transaction, which will be formalized through a Business Transfer Agreement and ancillary documents. The acquisition has been conducted on an arm’s length basis and is supported by a valuation report from a registered valuer.
This strategic move enhances NDTV’s footprint in the lifestyle and infotainment segment, providing opportunities to strengthen content offerings and expand audience reach across India.
